1. Who these terms are between1. Entre quiénes son estos términos

"DANI," "we" and "us" mean Digital Automation with Native Intelligence LLC, a Pennsylvania limited liability company at 2030 Lehigh St, Easton, PA 18042. "You" means anyone who visits danisystems.com, uses the DANI assistant, downloads one of our apps, or buys our services. By doing any of those you accept these terms and our Privacy Policy. If you buy services on behalf of a company, you confirm you may bind it. A signed quote or service agreement controls over these terms if they conflict. 2. Using the website and assistant2. Uso del sitio y del asistente

The website and assistant are provided for information and to request our services. You agree not to misuse them: no attempts to extract the assistant's instructions, overload or probe the service, scrape content, submit false information, or use them for anything unlawful. We may block access for misuse. The assistant is an AI, can be wrong, and cannot commit DANI, SnackSpot Markets or JADS Transportation to anything; only a written quote, invoice or agreement from a person does. Prices on the website and quoted by the assistant are starting prices in U.S. dollars, before sales tax where applicable. Final pricing is set only in a written quote from DANI after we understand the scope. Quotes are valid for 30 days unless stated otherwise. We may change published prices at any time; changes do not affect a quote you have already accepted. • Scope. Each project is described in a written quote covering deliverables, price, timeline and payment schedule. Anything not listed is out of scope and quoted separately.Alcance. • Your part. You provide content, logos, approvals, and access to domains and accounts on time, and you confirm you have the right to use everything you give us. • Cancellation. Either side may cancel a project in writing. You pay for work completed to that date; the deposit covers it and is not refundable once work has started. Once a project is paid in full, you own the final website, logo files, written content and app code we created specifically for you. We keep ownership of our pre-existing tools, templates, the DANI assistant and its prompts, and general know-how, and grant you a perpetual license to use them as part of your deliverable. Domains, hosting, email and third-party accounts are registered in your name whenever the provider allows it. Until full payment, everything stays ours and we may suspend it. We may show the work in our portfolio and name you as a client unless you ask us not to in writing. Stock photos, fonts and third-party software remain under their own licenses. 6. Care plans and hosting6. Planes de mantenimiento y hosting

Care plans (Basic, Standard, Full) are billed monthly in advance and renew automatically. Either side may cancel with 30 days' written notice, with no penalty; the plan ends at the close of the paid period. Plans cover the items listed on the website; larger changes are quoted separately. If you cancel, we hand over your site files and account access within 15 days and you take over hosting, domain and third-party fees. We aim for high uptime but hosting runs on third-party platforms (Netlify and others) whose outages are outside our control. 7. AI receptionist service7. Servicio de recepcionista con IA

When we run an AI receptionist for your business, it answers using the information you approve. You are responsible for the accuracy of that information and for telling your customers they are speaking with an AI where the law requires it (we build that disclosure in by default). The receptionist takes messages and routes leads; it does not make binding commitments for you. AI replies can be wrong, and you agree to review important interactions. Usage beyond the volume in your plan may be billed at the rate in your quote. Cuando operamos una recepcionista con IA para su negocio, responde con la información que usted aprueba. 8. Payments8. Pagos

Invoices are due on the date stated, normally on receipt for deposits and net 15 for balances. Late balances may pause work or service after written notice and may accrue 1.5% per month or the maximum allowed by law, whichever is lower, plus reasonable collection costs. We accept the payment methods shown on the invoice; card payments are processed by a third-party processor. Disputed charges must be raised within 30 days of the invoice. 9. Third-party services9. Servicios de terceros

Websites, email, phone systems, AI receptionists and apps run on third-party platforms (hosting, domain registrars, telecom carriers, AI providers, Meta/WhatsApp, Apple and Google app stores). Their terms apply to your use of them, their fees may change, and their availability is outside our control. We will help you work through outages and policy changes but are not responsible for them. Apps we publish are licensed to you, not sold, for personal or internal business use on devices you own or control, under these terms and the app store's standard end-user license. You may not reverse-engineer, resell or redistribute them. Apple and Google are not parties to these terms and have no support or warranty obligations for our apps; any claim relating to an app is between you and us. Each side keeps the other's non-public business information confidential and uses it only for the project, except as the law requires. This survives the end of our work together. We warrant that we will perform services with reasonable skill and care and that our own original work does not knowingly infringe anyone's rights. We will fix defects in our work reported within 30 days of delivery at no charge. Beyond that, services, the website, the assistant and apps are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. We do not guarantee search rankings, sales, leads, uptime or that AI output will be accurate. To the extent allowed by law, DANI's total liability for any claim arising from our services, website, assistant or apps is limited to the amount you paid us in the three months before the event giving rise to the claim. We are not liable for lost profits, lost data, business interruption or indirect, incidental, special or consequential damages, even if advised of the possibility. These limits do not apply to liability that cannot be limited by law, including for fraud or gross negligence. You agree to cover us for claims arising from content, data or instructions you provide, from your use of a deliverable in a way we did not build it for, or from your breach of these terms. These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. If a dispute comes up, we both agree to try to resolve it in good faith by talking first. Any dispute that cannot be resolved that way is heard exclusively in the state or federal courts for Northampton County, Pennsylvania, and each side consents to that jurisdiction, except that either side may bring a claim in small-claims court or seek an injunction to protect intellectual property anywhere. These terms, your accepted quote and our Privacy Policy are the whole agreement between us. If any part is unenforceable, the rest stays in effect. Neither side is responsible for delays caused by events outside its reasonable control. You may not assign these terms without our consent; we may assign them to a successor of the business. Notices go by email to the addresses on file. We may update these terms by posting a new version here; changes apply to work ordered after the update. The English version controls if the Spanish translation differs. Estos términos, su cotización aceptada y nuestra Política de Privacidad constituyen el acuerdo completo entre nosotros.
